Terms and Conditions Starter


Please carefully review the following terms and conditions for the Web Starter Package by Yzzy Agency ("Agency") if you are a Buyer of the Package ("Client"). These terms and conditions outline the rules and responsibilities you must adhere to when purchasing the Web Starter Package from the Agency.

1. Service Description


The Web Starter Package is a comprehensive web design & development package that helps businesses create a standout website from scratch. The package includes a range of features that cover Web Design & Development (UI/UX design, Responsiveness, up to 7 static pages, Online Forms, Blog, simple e-Commerce, simple Integrations), Web Content (stock Images/Graphics), one year of Web Hosting, Corporate Emails, SSL certificate and Domain registrations.

2. Package Delivery


The package will be completed within six weeks from the date of purchase, subject to a completed project questionnaire brief submitted by the Client. The Agency will deliver work under a specified timeline as far as reasonably possible, and any delays will be communicated to the Client.

3. Client Obligations


The Client must complete a project questionnaire brief to initiate the project's work and communicate timely. If any other requirements are necessary for achieving the package, the Agency will guide these.

4. Exclusions


The Web Starter Package does not include any additional expenses, such as advertising expenses. In addition, the package has no non-specified services/items not covered in the description.

5. Review and Approval


After completing the Agency's work product, the Client agrees to review the deliverables promptly. It is recognized that timely feedback is necessary for accurate and practical project completion. The Client maintains the right to request up to three modifications to the work product to meet their specifications. However, any additions beyond the allotted three may incur additional fees as determined by the Agency. The Client is advised that failure to provide timely feedback can lead to project deadline complications and may require supplementary charges. Should final approval be delayed for any cause, the Agency retains the authority to invoice any work conducted up until that point.

6. Payment


Payment for the Web Starter Package is a 50% upfront deposit, and the Agency will only proceed with the project once a payment has been received. The remaining 50% payment should be completed within seven days from the start of the project.

7. Refunds


If the Client requests a refund once the project has started, they will be charged a 50% cancellation fee. Credit card fees associated with the payment will also be deducted from the refund. The project is deemed to have started when the client completes the questionnaire and books the first call. Any refund must be requested in writing.

8. Ownership


The Agency assigns the Client all its rights, titles, and interests in the work product, including intellectual property rights. The Client will be the sole owner of the work product and can use, modify, destroy, or sell it as they wish.

9. Agency Rights


The Agency will retain the right to use the Package in its portfolio and marketing materials. The usage of this right will remain indefinitely.

10. Limitation of Liability


The Agency will not be responsible for any losses or damages, whether direct or indirect, that may result from the Client's use of the work product received. The Client has agreed to protect the Agency from third-party claims from using the Package.

11. Termination


The Client or the Agency may terminate the project at any time if the other party is notified in writing. Upon termination, the Agency will invoice the Client for all services rendered up to that point.

12. Modification


The terms and conditions associated with the Web Starter Package are subject to change, and the Agency reserves the right to modify them at any time. These changes shall take effect as soon as they are published on the Agency's website.

13. Jurisdiction and Governing Law


These terms and conditions will be governed by and construed under the laws of the United States of America. Any disputes arising from or related to these terms and conditions shall be resolved through arbitration.

14. Licensed Materials


The Agency may procure licensed materials from third-party sources and incorporate them into the Work Product. Although ownership of such licensed materials remains with the licensor upon expiry of the license term, the Client agrees to abide by the terms and conditions stipulated in the agreements. The Agency will inform and update the Client of any limitations or restrictions.

15. Confidential Information


The parties agree that all information disclosed by either party to the other in connection with this Agreement, whether declared before or after the execution of this Agreement, which has not been previously or subsequently disclosed publicly or independently developed by the receiving party, shall be deemed Confidential Information. Confidential Information may be disclosed only to the extent required by applicable law or to its authorized employees, agents, subcontractors, consultants, or representatives who need to know such Confidential Information for this Agreement, provided that such recipients are bound by confidentiality obligations or professional secrecy obligations at least as restrictive as those contained in this Agreement. The receiving party shall safeguard the Confidential Information under reasonable measures, no less stringent than those employed to protect its confidential information from unauthorized use or disclosure, but in any event not less than a reasonable degree of care, and will not use it except as expressly permitted by this Agreement. The confidentiality obligations shall survive the expiration or termination of this Agreement for five (5) years from the date of such expiration or termination or until such information becomes legally available in the public domain through no fault of the receiving party. Any breach of this Confidential Information clause shall entitle the disclosing party to seek injunctive or equitable relief without prejudice to other legal remedies.
